Terms of Service
The terms that govern your use of Rainsight
1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Rainsight Inc. (“Rainsight,” “we,” “us,” or “our”) governing your access to and use of the Rainsight platform available at go.rainsight.io (the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of Service
Rainsight is an analytics platform for Amazon sellers. The Service connects to your Amazon Seller account via the Amazon Selling Partner API (SP-API) and provides dashboards, trend detection, and performance alerts based on your sales, traffic, and inventory data.
The Service is intended for use by Amazon sellers and brand operators. You must have a valid Amazon Seller account to use the core features of the Service.
3. Accounts and Eligibility
To use the Service, you must register for an account and provide accurate information including your name and email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. If you are using the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.
4. Amazon Integration
By connecting your Amazon Seller account to Rainsight, you authorize Rainsight to access your Amazon data via SP-API on your behalf. You represent that you have the right to grant this access and that doing so does not violate Amazon's terms of service or any other applicable agreement.
Rainsight operates as a read-only analytics service. We do not take any actions in your Amazon Seller account beyond data retrieval — we do not create, modify, or delete listings, orders, advertising campaigns, inventory records, or any other Amazon account data on your behalf.
Rainsight's use of Amazon data is governed by our Privacy Policy, Amazon's SP-API Solution Provider Agreement, and Amazon's Data Protection Policy and Acceptable Use Policy (collectively, “Amazon API Policies”). We access only the data necessary to provide the Service. It is your responsibility to review and comply with all Amazon API Policies and any other Amazon agreements applicable to your account. Rainsight has no control over Amazon's policies and is not a party to any agreement between you and Amazon.
Amazon may update its API Policies, access requirements, or service availability at any time. Rainsight cannot guarantee uninterrupted access to Amazon data if Amazon modifies or restricts its API. In such cases, we will make reasonable efforts to notify you and adapt the Service accordingly.
You may disconnect your Amazon account at any time via Account Settings → Amazon Integration. Disconnecting will stop new data from syncing but will not automatically delete historical data already stored.
5. Subscription and Payment
Rainsight offers paid subscription plans as described at go.rainsight.io. By subscribing, you agree to pay the applicable fees on a recurring basis until you cancel.
- Subscriptions are billed monthly or annually depending on your selected plan
- All fees are in USD and are non-refundable except as required by law
- We reserve the right to change pricing with 30 days notice to existing subscribers
- Failure to pay may result in suspension or termination of your account
You may cancel your subscription at any time via Account Settings → Plans & Billing. Cancellation takes effect at the end of your current billing period.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Violate Amazon's terms of service or selling policies
- Circumvent, manipulate, or otherwise attempt to access Amazon data beyond what you are authorized to access under your own Amazon Seller account
- Attempt to gain unauthorized access to the Service or its infrastructure
- Reverse engineer, decompile, or otherwise attempt to extract source code from the Service
- Use the Service to compete with Rainsight or build a substantially similar product
- Scrape, crawl, or systematically extract data from the Service beyond normal use
- Share your account credentials with unauthorized third parties
7. Intellectual Property
Rainsight and its licensors own all rights to the Service, including the platform, software, design, and content. These Terms do not grant you any ownership interest in the Service.
Your data — including your Amazon seller data and any content you upload — remains yours. You grant Rainsight a limited license to use your data solely to provide the Service to you.
8. Data and Privacy
Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
9. Third-Party Services and No Affiliation
Rainsight integrates with Amazon's Selling Partner API to provide the Service. Rainsight Inc. is an independent company and is not affiliated with, endorsed by, sponsored by, or in any way officially connected to Amazon.com, Inc. or any of its subsidiaries or affiliates. The Amazon name, logo, and related marks are trademarks of Amazon.
The Service may display links to or information from third-party websites, services, or resources. Rainsight is not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed solely by the applicable terms and policies of those third parties.
10. Artificial Intelligence
The Service may incorporate artificial intelligence features to generate summaries, trend narratives, and performance insights based on your Amazon data. You acknowledge that AI-generated outputs may be inaccurate, incomplete, or require verification. Rainsight assumes no responsibility for decisions you make based on AI-generated content, and recommends verifying any material findings directly in your Amazon Seller Central account.
You agree that you will not use, upload, transmit, or otherwise provide any data, insights, or content derived from the Service to any third-party artificial intelligence, machine learning, large language model, or similar automated system for the purposes of training, fine-tuning, benchmarking, or improving such systems. This restriction does not apply to transient inference use where the third-party system does not retain or store the data beyond the immediate session.
11. Results Not Guaranteed
Rainsight makes no guarantee or representation of any kind concerning the results of your use of the Service. Any examples or case studies referenced in connection with the Service represent possible outcomes only. There can be no assurance as to any particular result — including increased sales, improved Amazon ranking, or any other business outcome — based on your use of the Service.
12. Disclaimers
Rainsight is an analytics tool that displays data sourced from Amazon. We are not responsible for decisions you make based on data shown in the Service. Always verify critical business decisions against your Amazon Seller Central account directly.
Data accuracy and availability within the Service is subject to Amazon's systems, SP-API rate limits, and data processing delays. In any discrepancy between data shown in Rainsight and data shown in Amazon Seller Central, your Seller Central account is the authoritative source.
13. Limitation of Liability
To the maximum extent permitted by law, Rainsight Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, data, or business opportunities.
Rainsight's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to Rainsight in the three months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Rainsight Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights, including Amazon's terms of service or applicable law.
15. Termination
You may cancel your subscription at any time via Account Settings → Plans & Billing. If you would like your account and data fully deleted, email support@rainsight.io and we will process your request within one business day.
We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.
Upon termination, your right to use the Service ceases immediately. We will retain only such information as is necessary to comply with legal obligations, resolve disputes, and enforce these Terms. Provisions of these Terms that by their nature should survive termination will do so, including intellectual property rights, disclaimers, indemnification, and limitations of liability.
16. Dispute Resolution
Any dispute or controversy arising under or in connection with these Terms shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, by a single arbitrator. Arbitration shall take place in King County, Washington. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
You and Rainsight agree to bring any dispute solely in your or our individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate claims of more than one person.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property rights.
17. Force Majeure
Rainsight shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to Amazon API outages or policy changes, third-party infrastructure failures, acts of God, government orders, internet service disruptions, or other force majeure events.
18. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Rainsight may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, or sale of assets. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
19. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email and by updating the “Last Updated” date on this page. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
20. Governing Law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes not subject to arbitration under Section 16 shall be subject to the exclusive jurisdiction of the courts located in King County, Washington.
